Two Historic Black-Owned Banks Join Forces to Build a $1.27 Billion Financial Institution

In a landmark move for Black banking and economic empowerment, two of the nation’s oldest Black-owned financial institutions are preparing to join forces.

Optus Financial Corporation, the parent company of South Carolina-based Optus Bank, and M&F Bancorp, the parent company of North Carolina’s Mechanics & Farmers Bank, have entered a definitive merger agreement. If approved, the partnership will create what the companies describe as the largest Black-owned bank in the United States by total assets—combining approximately $1.27 billion in assets and more than 220 years of banking history.

But one important distinction must be made: this is not a $1.27 billion purchase. The proposed transaction is valued at more than $105 million, while $1.27 billion represents the approximate combined assets of the two institutions.

Two Legacies Built Out of Necessity

Mechanics & Farmers Bank was established in Durham, North Carolina, in 1907. Born during an era when Black families and entrepreneurs were routinely denied access to mainstream financial institutions, M&F became an essential part of Durham’s historic Black Wall Street.

The bank helped Black residents purchase homes, finance businesses and build wealth at a time when discriminatory banking practices made those opportunities difficult—if not impossible—to obtain.

Optus Bank traces its history to Victory Savings Bank, founded in Columbia, South Carolina, in 1921. Today, Optus is South Carolina’s oldest Black-owned bank and operates as both a federally designated Minority Depository Institution and a certified Community Development Financial Institution.

These banks were not merely businesses. They were economic lifelines created to serve communities the traditional financial system had deliberately overlooked.

From Competition to Collective Power

The real significance of this merger is not simply that two Black-owned banks are becoming one. It is that two mission-driven institutions are choosing greater scale, capacity and collective power.

As of March 31, 2026, Optus reported approximately $785.2 million in assets, while M&F reported approximately $517.5 million. Once combined, the organization is expected to operate 10 branches across North and South Carolina.

A larger financial institution could have more power to:

Finance small and midsize businesses

Support homeownership in underserved communities

Develop stronger commercial-banking services

Invest in improved banking technology

Compete for larger business relationships

Expand access to capital throughout the Carolinas and beyond

Optus Chairman Paul Mitchell called the partnership a defining moment for mission-driven banking in America, emphasizing its potential to expand economic mobility and strengthen support for entrepreneurs and underserved communities.

What Happens to M&F Bank?

Under the agreement, M&F Bancorp will merge into Optus Financial Corporation, while Mechanics & Farmers Bank will eventually merge into Optus Bank.

M&F locations are expected to continue operating under the Mechanics & Farmers name for approximately two years before transitioning to the Optus brand.

James H. Sills III, currently president and CEO of M&F Bancorp, is expected to become CEO of the combined company. Paul Mitchell will remain chairman of the combined organization.

The transaction is expected to close during the fourth quarter of 2026, but it is not final. It remains subject to regulatory approval and approval from M&F Bancorp shareholders. M&F Bank’s official announcement (https://www.mfbonline.com/optus-financial-corporation-and-mf-bancorp-inc-announce-transformative-partnership/) confirms the proposed structure and leadership plan.

Growth Comes With a Responsibility

The announcement deserves celebration, but it should also inspire serious discussion.

Consolidation gives the combined institution greater financial strength, but it also reduces the number of independently operated Black-owned banks. According to reporting from Banking Dive (https://www.bankingdive.com/news/optus-mf-carolina-black-owned-banks-merge-105-million-mdi-cdfi/826017/), there were 22 Black-owned banks in the United States at the time of the announcement.

That makes accountability essential.

The true measure of this merger will not be the size of the combined balance sheet. It will be whether Black families, entrepreneurs and communities experience greater access to mortgages, business loans, financial education, investment opportunities and capital.

Becoming bigger matters—but becoming more effective for the people these institutions were created to serve matters even more.

A Blueprint for Black Economic Cooperation

For generations, the conversation surrounding Black economics has centered on supporting Black-owned businesses, circulating dollars within the community and creating institutions capable of lasting beyond their founders.

This merger represents that conversation being put into action.

Rather than allowing two historic institutions to remain limited by size, technology or geography, Optus and M&F are attempting to combine their resources and compete from a stronger position.

This is more than a banking story. It is a story about strategy, survival and scale.

Two institutions created during segregation are now preparing to build the largest Black-owned bank in the country by assets. More than a century after their founding, their original mission remains relevant: helping Black communities access capital, establish ownership and create generational wealth.

The merger may be historic, but its ultimate legacy will depend on what the combined institution does with its increased power.

Boss Talk 101 question: Is this the model Black businesses need—fewer institutions competing separately and more institutions combining their resources to build collective power?
